In the 2025 Annual General Meeting Resolution 3, to form a new Trading Company to enhance our ability to support small Traders in line with our position with HMRC requirements, was passed.
This new company is called “Gauge O Sales Limited”.
It is a company limited by guarantee and there are no shareholders.
There are two members of the Gauge O Guild Management Committee (MC) who have become Directors. They are Malcolm Hector and Judy Cartwright. They will choose further Directors from the list that apply.
The balance of the MC will have no further management control of the company or choice of the additional Directors.
There will be a minimum of five Directors.
Every member of the Gauge O Guild will have an option to apply from 1st November for 15 working days on-line, to become a member of “Gauge O Sales Limited”. There is no additional cost of becoming a member of Gauge O Sales Limited, as well as being a member of the Gauge O Guild Limited, other than the acceptance of a liability limited to £1 if the company is ever wound up.
From the list of Gauge O Sales Members, at least three will be picked to become Directors of the new company.
The choice of additional directors may be influenced by those with experience in on-line Sales, Manufacturing, Trading and/or Marketing should they be available but they must not be members of the Gauge O Guild Management Committee.
The maximum period of service will be seven years.
Applications must be submitted by email to the address on the form.
- Directors of Gauge O Sales Limited will be chosen from the list of Gauge O Sales Limited Members (who are not already a member of the Gauge O Guild Management Committee)
- N.B. Only Gauge O Guild Members can apply to become a member of Gauge O Sales Limited
- The deadline for applications to become a member of Gauge O Sales Limited is 21st November (15 working days from 1st November)
